Questions

Which structure should I choose for a new business?

It depends on the number of owners, the need to limit liability, plans to raise funds, and the compliance cost you can carry. A proprietorship is the simplest; an LLP or a private limited company limits liability but has more filings.

Does a proprietorship need to be registered?

There is no registration of a proprietorship as such. It is identified through registrations taken in the proprietor’s name, such as GST, Udyam, and the Shop and Establishment intimation (registration is needed only where the establishment has 20 or more workers).

Is registration of a partnership firm compulsory in Maharashtra?

Registration is optional under the Indian Partnership Act, 1932, but an unregistered firm cannot file certain suits to enforce its rights. In Maharashtra, an application made after the time allowed under the state amendment attracts a penalty. Stamp duty applies to the partnership deed under the Maharashtra Stamp Act, 1958.

How many people are needed to form an LLP or a private limited company?

An LLP needs at least two designated partners. A private limited company needs at least two directors and two shareholders, and a One Person Company can be formed by one individual who is an Indian citizen.

What has to be done after incorporation?

Common first steps include opening a bank account, appointing the first auditor (by the Board within 30 days), filing the declaration of commencement of business for a company (within 180 days), and taking GST and other registrations that apply.
